These Terms of Service ("Terms") govern your access to and use of the Wallets Out service ("Service"), operated by Wallets Out ("Company," "we," "us," or "our"). Please read these Terms carefully before using the Service.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
Wallets Out is a software-as-a-service (SaaS) platform that provides data intelligence and analysis tools. The Service analyzes publicly available data from various sources to help users identify market opportunities, analyze competitive landscapes, and make data-driven decisions.
The Service includes:
- Data browsing, filtering, and exploration
- Opportunity analysis and insights
- Data export functionality
- Account management features
3. Account Registration
3.1 Account Creation
To access the Service, you must create an account by providing a valid email address and password. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities under your account
3.2 Account Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this age requirement.
4. Plans and Payment
4.1 Access Plans
The Service is offered through various access plans, which may include free tiers, one-time purchase options, and recurring subscriptions. Features, duration, and limitations vary by plan and are described on our pricing page.
4.2 Billing
For paid plans:
- One-time purchases grant access for the duration specified at checkout
- Recurring subscriptions authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selected plan)
- Fees are charged in advance and are non-refundable except as expressly stated in these Terms or required by law
4.3 Price Changes
We may change plan pricing at any time. For one-time purchases, the price at checkout applies. For recurring subscriptions, we will provide at least 30 days' notice before your next billing cycle. Continued use after a price change constitutes acceptance.
4.4 Payment Processing
Payments are processed by Stripe, Inc. By providing payment information, you agree to Stripe's terms of service. We do not store complete credit card numbers on our servers.
5. Acceptable Use
5.1 Permitted Use
You may use the Service for lawful business purposes consistent with these Terms. This includes:
- Analyzing data for business planning and decision-making
- Exporting data for internal research
- Sharing insights within your organization
5.2 Prohibited Conduct
You agree not to:
- Violate any applicable law or regulation
- Use the Service for any fraudulent or unlawful purpose
- Attempt to gain unauthorized access to the Service or its systems
- Interfere with or disrupt the Service or servers
- Access the Service through automated means in a way that degrades performance, exceeds rate limits, or circumvents access controls
- Resell, redistribute, sublicense, or commercially exploit Service data, analysis, or insights without our prior written authorization
- Create derivative products or services based on Service data or analysis for commercial distribution
- Systematically download or store Service data to create a competing product or service
- Share account credentials or allow multiple users to access a single account
- Reverse engineer, decompile, or disassemble any part of the Service
- Remove or alter any proprietary notices, labels, or attribution
- Circumvent authentication, access controls, or usage restrictions
- Impersonate any person or entity
- Transmit malware, viruses, or other harmful code
- Harass, abuse, or harm other users
5.3 Usage Limits
The Service includes limits on exports and other functionality to ensure fair use and system stability. Current limits are displayed within the Service interface where applicable (for example, the export limit shown when exporting data).
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including its software, design, text, graphics, and other content, is owned by us or our licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose during your access period.
6.2 Data Sources
The data provided through the Service is derived from publicly available sources. We do not claim ownership of third-party source data. Our analysis, insights, aggregations, and presentation of this data constitute our intellectual property.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use such feedback without compensation or attribution.
7. Data and Privacy
7.1 Privacy Policy
Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.
7.2 Data Accuracy

8. Service Availability
8.1 Availability
We aim to maintain high Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable notice when possible)
- Unscheduled maintenance or emergency repairs
- Factors beyond our control (internet outages, third-party service disruptions)

9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY DATA OR ANALYSIS
YOU USE THE SERVICE AT YOUR OWN RISK. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT ANY ERRORS WILL BE CORRECTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER
- THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE)
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content or data you submit through the Service
12. Term and Termination
12.1 Term
These Terms remain in effect while you use the Service.
12.2 Termination by You
You may terminate your account at any time through account settings or by contacting support@walletsout.com. For recurring subscriptions, termination takes effect at the end of your current billing period. For one-time purchases, termination ends access immediately with no refund for unused time.
12.3 Termination by Us
We may suspend or terminate your account at any time for:
- Violation of these Terms
- Non-payment of fees
- Extended inactivity
- Legal or regulatory requirements
- Our sole discretion, with reasonable notice
12.4 Effect of Termination
Upon termination:
- Your right to access the Service ends immediately
- You remain responsible for any outstanding fees
- We may delete your account data after a reasonable retention period
- Provisions that by their nature should survive (indemnification, limitation of liability, intellectual property) will continue to apply
13. Governing Law and Disputes
13.1 Governing Law
These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles.
13.2 Dispute Resolution
Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property matters.
13.3 Class Action Waiver
You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
14.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
14.3 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
14.5 Notices
We may send notices to the email address associated with your account. You are responsible for keeping your email address current.
14.6 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or government actions.
15. Changes to Terms
We may modify these Terms at any time by posting the revised version on our website. Material changes will be communicated via email or prominent notice within the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
